Verification of Credentials for the ND Secretary of State Business Registration:
Initial and Annual Report Process

If you are forming a professional limited liability company (PLLC), professional corporation, professional partnership, or other professional business that will provide nursing services in North Dakota, the North Dakota Board of Nursing (NDBON) must review and approve your Certificate of Professional License form before the Secretary of State can complete your registration. The NDBON must also review the Certificate of Professional License form for each Annual Report filing for the licensed nurses.

Why is Board verification required?

North Dakota Century Code Chapter 10-31 (Professional Organizations Act) requires certain professional businesses to obtain certification from the applicable licensing board when registering with the North Dakota Secretary of State.

For nursing entities, the NDBON is responsible for verifying that each professional partner, member, or owner:

  • Holds a current North Dakota nursing license;
  • Is legally authorized to provide the professional services offered by the business; and
  • Meets applicable requirements under North Dakota nursing laws and rules.

This review helps ensure that professional nursing businesses are organized and operated in compliance with state law.

Instructions for Completing the Application for Verification of Credentials for Initial Business Formation and Annual Reporting:

  1. Access the ND Nurse Portal and sign in to your account.
  2. Select “Apply for License.”
  3. Select the blue “Other Application” tab.
  4. Select “PLLC: Review for SOS Certification of Professional License for Business.”
  5. Complete all application requirements, including an attestation confirming compliance with N.D.C.C. Chapter 43-12.1 – Nurse Practices Act, N.D.A.C. Title 54 – Board of Nursing rules, and applicable NDBON Practice Guidance. Application requirements will include the following documents and information:
    • Completed SOS SFN 13610 – Professional License Certificate
      (13610 Professional License Certificate)
    • Curriculum Vitae (CV) for each professional partner or member
Each CV should include relevant professional practice experience.
    • Description of Services Rendered
Provide a description of the professional services the PLLC will provide.
  6. Submit the $20 administrative fee.

What happens next?

Once all required documentation and the administrative review fee have been received, the NDBON Practice Division will review your submission. If additional information is needed, the designated point of contact will be contacted.

After the review is complete, the designated point of contact will be notified of the Board’s determination. If approved, the Certificate of Professional License will be completed and returned for submission to the North Dakota Secretary of State.

Please allow 2–3 business days for the NDBON to review the application, authorize the required signature, and forward the completed documentation to ND SOS.

The point of contact identified in the application will be cc’d on the submission to the ND SOS.
