Verification of Credentials for ND Sec of State Business Registration
If you are forming a professional limited liability company (PLLC), professional corporation, professional partnership, or other professional business that will provide nursing services in North Dakota, the North Dakota Board of Nursing (NDBON) must review and approve your Certificate of Professional License before the Secretary of State can complete your registration.
Why is Board approval required?
North Dakota Century Code Chapter 10-31 (Professional Organizations Act) requires certain professional businesses to obtain certification from the applicable licensing board when registering with the North Dakota Secretary of State.
For nursing entities, the NDBON is responsible for verifying that each professional partner, member, or owner:
- Holds a current North Dakota nursing license;
- Is legally authorized to provide the professional services offered by the business; and
- Meets applicable requirements under North Dakota nursing laws and rules.
This review helps ensure that professional nursing businesses are organized and operated in compliance with state law.
Required documentation
Please email the following information to pllc@ndbon.org:
- Completed Certificate of Professional License (SFN 13610) provided by the North Dakota Secretary of State.
- Designated point of contact and contact information .
- Current curriculum vitae (CV) for each professional partner or member, including practice experiences.
- Description of services rendered in the business. .
- If applicable, any national certification(s) or continuing education related to services rendered/scope of practice (i.e., pain management, aesthetics, etc).
- Signed attestation from each professional partner or member confirming compliance with:
- North Dakota Century Code Chapter 43-12.1 (Nurse Practice Act);
- North Dakota Administrative Code Title 54; and
- Applicable North Dakota Board of Nursing practice guidance.
- Administrative review fee of $20.00, which includes documentation review, processing, and the required notary fee.
What happens next?
Once all required documentation and the administrative review fee have been received, the NDBON Practice Division will review your submission. If additional information is needed, the designated point of contact will be contacted.
After the review is complete, the designated point of contact will be notified of the Board’s determination. If approved, the Certificate of Professional License will be completed and returned for submission to the North Dakota Secretary of State.
Future online application
The NDBON is developing an online application process through the Nurse Portal. Until that application is available, please submit all required documentation by email to pllc@ndbon.org.
Annual Report Applications for Businesses
Professional businesses organized under North Dakota Century Code Chapter 10-31 (Professional Organizations Act) are required to file an Annual Report with the North Dakota Secretary of State.
Before the Secretary of State can accept your Annual Report, the North Dakota Board of Nursing (NDBON) must review and approve your Certificate of Professional License.
First-Time Certificate of Professional License Submission
If this is your first time submitting a Certificate of Professional License to the NDBON, you must provide the documentation required for an initial application, including:
- Completed Certificate of Professional License (SFN 13610) provided by the North Dakota Secretary of State.
- Designated point of contact and contact information.
- Current curriculum vitae (CV) for each professional partner or member, including practice experiences.
- Description of services rendered in the business.
- If applicable, any national certification(s) or continuing education related to services rendered/scope of practice (i.e., pain management, aesthetics, etc).
- Signed attestation from each professional partner or member confirming compliance with:
- North Dakota Century Code Chapter 43-12.1 (Nurse Practice Act);
- North Dakota Administrative Code Title 54; and
- Applicable North Dakota Board of Nursing practice guidance.
- Administrative review fee of $20.00, which includes documentation review, processing, and the required notary fee.
Once the application is reviewed and approved, the NDBON will complete the Certificate of Professional License and submit it as part of the annual reporting process.
Subsequent Annual Report Submissions
For subsequent Annual Report filings, you will be asked to indicate whether any changes have occurred since your previous filing, including changes to:
- Ownership or membership
- Services provided by the business
If you attest that no changes have occurred since your last Annual Report, the NDBON will review your submission, collect the applicable fee, approve the Certificate of Professional License, and provide the notarized certificate for submission to the North Dakota Secretary of State.
If changes have occurred, additional documentation may be required before the Certificate of Professional License can be approved.
